Terms and Conditions - Sender

Article I - General Provisions

(1) These General Business Terms and Conditions for Senders (hereinafter “Sender Terms”) are issued by edysea s.r.o. for the purpose of regulating the rights and obligations of the contracting parties to the sending contract (hereinafter “sending contract”), which is concluded by edysea s.r.o., with registered office at Hlavná 329/4, 900 23 Viničné, Slovak Republic, ID No.: 44 530 439, registered in the Commercial Register of the District Court Bratislava I, in section Sro, file no. 55756/B (hereinafter “Sender”) and a natural person, legal person and other legal entities who send shipments (hereinafter “Shipper”).

(2) The subject of the sending contract is the regulation of mutual rights and obligations of the contracting parties arising from the acceptance and transport of shipments by edysea s.r.o.

(3) These Sender Terms apply to all shipments accepted by edysea s.r.o. from the Shipper. By submitting a shipment, the Shipper agrees to be bound by these Sender Terms.

(4) The sending contract is concluded when edysea s.r.o. accepts a shipment from the Shipper. Acceptance is confirmed by issuing a waybill or receipt to the Shipper.

(5) Legal relationships established by the sending contract are governed by Law no. 513/1991 Z.z. Commercial Code, as amended, and other applicable legal regulations of the Slovak Republic, as well as by these Sender Terms and the General Shipping Conditions of the Association of Logistics and Shipping of the Slovak Republic.

(6) edysea s.r.o. is the data controller and will process personal data in accordance with its privacy policy and applicable data protection regulations.

Article II - Shipment Information and Preparation

(1) The Shipper must provide complete and accurate information about the shipment, including: description of goods and contents, weight and dimensions, value of the shipment, origin and destination addresses, contact information for delivery confirmation, special handling requirements, and information about hazardous materials, if applicable.

(2) The Shipper is responsible for the accuracy of all information provided. Incorrect information may result in delays, additional costs, or damage for which edysea s.r.o. shall not be liable.

(3) The shipment must be properly packaged and labeled in accordance with applicable regulations to ensure safe transport. edysea s.r.o. shall not be liable for damage resulting from improper packaging.

(4) If the shipment contains dangerous goods, the Shipper must clearly declare this and provide all necessary documentation and safety information. Failure to declare dangerous goods may result in legal liability for the Shipper.

(5) The Shipper may not include items that are prohibited by law or edysea s.r.o.’s policies (such as weapons, drugs, counterfeit goods, etc.). edysea s.r.o. reserves the right to refuse shipments that contain such items.

(6) The Shipper must ensure that the shipment is ready for pickup at the agreed time and location. If the shipment is not ready, edysea s.r.o. may charge additional fees for rescheduled pickups.

Article III - Transport and Delivery

(1) edysea s.r.o. will transport the shipment from the origin to the destination as agreed. The transport time provided is an estimate and not a guarantee.

(2) The Shipper may track the shipment’s location and status through edysea s.r.o.’s tracking system, if available. Tracking information is provided for informational purposes only.

(3) Delivery will be attempted at the destination address provided by the Shipper. If the recipient is not available, edysea s.r.o. may leave the shipment with a neighbor, at a delivery point, or arrange for redelivery at the Shipper’s expense.

(4) If delivery cannot be completed after reasonable attempts, edysea s.r.o. will notify the Shipper and may return the shipment to the origin at the Shipper’s expense, or store it at the Shipper’s cost.

(5) The recipient must verify the condition of the shipment upon receipt. Any visible damage must be reported to edysea s.r.o. immediately. Claims for damage must be filed within 7 days of receipt.

(6) The risk of loss or damage to the shipment passes to the recipient upon delivery. From that point, edysea s.r.o. is not responsible for the shipment’s condition.

(7) Special delivery requirements (signature required, time-specific delivery, etc.) may incur additional charges and must be agreed upon before transport.

Article IV - Pricing and Payment

(1) The transport fee is determined based on the shipment’s weight, dimensions, origin, destination, and any special handling requirements.

(2) Additional charges may apply for: handling of hazardous materials, special packaging or labeling, extended delivery times or specific time windows, storage or hold services, return shipments, and duties, taxes, or regulatory fees.

(3) edysea s.r.o. will provide a price quote to the Shipper upon request. The quote is valid for 7 days unless otherwise specified.

(4) Payment must be made according to the agreed payment terms, typically within 14 days of invoice date. For new customers, payment in advance or COD (Cash on Delivery) may be required.

(5) Late payment incurs a contractual penalty of 0.05% per day of the outstanding amount, unless otherwise specified.

(6) All prices are inclusive of applicable taxes unless otherwise stated. The Shipper is responsible for any customs duties or import taxes on international shipments.

(7) If a shipment cannot be delivered due to reasons attributable to the Shipper or recipient, the full transport fee remains due, plus any storage or handling costs incurred.

Article V - Liability and Insurance

(1) Liability limitation: edysea s.r.o.’s liability for loss, damage, or non-delivery of shipments is limited to: the actual cost of the transport fee, the declared value of the shipment, or the maximum amount specified in applicable international transport regulations, whichever is less.

(2) edysea s.r.o. is not liable for: damage or loss caused by the Shipper’s failure to provide accurate information, damage resulting from improper packaging or preparation, loss or damage due to events beyond edysea s.r.o.’s reasonable control (force majeure), damage from hazardous materials not properly declared, loss or theft occurring after delivery to the recipient, or consequential or indirect damages.

(3) The Shipper may purchase additional insurance to cover the full value of the shipment. Insurance terms and rates will be provided upon request.

(4) Any claims for loss or damage must be filed in writing within 7 days of receipt of the shipment (or within 30 days if the damage is not visible). Claims must include proof of the shipment’s value and evidence of damage.

(5) For international shipments, liability is also governed by the conventions on international road transport of goods (CMR) and air transport (Warsaw Convention or Montreal Convention), as applicable.

Article VI - Dispute Resolution and Applicable Law

(1) These Sender Terms and the sending contract are governed by the laws of the Slovak Republic.

(2) Any disputes arising from or related to the sending contract shall be resolved through: direct negotiation between the parties, mediation, if agreed upon by both parties, or arbitration or court proceedings, if applicable.

(3) The parties irrevocably agree to the jurisdiction of the courts of the Slovak Republic.

(4) edysea s.r.o. reserves the right to modify these Sender Terms. Changes will be announced at least 30 days in advance. The Shipper’s continued use of edysea s.r.o.’s services after such notification constitutes acceptance of the modified terms.

(5) If any provision of these Sender Terms is found to be invalid, the remaining provisions shall remain valid. Invalid provisions will be replaced with valid provisions that best reflect the intent of the original provision.

(6) These Sender Terms, together with any written agreement between the parties, constitute the entire agreement regarding the sending contract and supersede all previous agreements and understandings.

These Terms and Conditions come into effect on the date of publication and remain valid until further notice.
